phpYellow Pages - Lite and Pro Editions Copyright (C) 2003 Global I.S. S.A. All rights reserved. IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE. END USER LICENSE AGREEMENT Global I.S. S.A. ("DEVELOPER") agrees to provide the user ("USER") with a copy of this software product ("SOFTWARE"), and grants the USER a limited license to use the SOFTWARE. ("LICENSE") This LICENSE defines what the USER may do with the SOFTWARE, and contains limitations on warranties, liabilities and remedies. This LICENSE may be revoked by the DEVELOPER at any time without notice if the USER fails to comply with the terms of this LICENSE. The copyright and all other rights in the SOFTWARE shall remain with the DEVELOPER. LICENSE OF UNREGISTERED SOFTWARE An unregistered copy of the SOFTWARE ("UNREGISTERED SOFTWARE") may be used by the USER for evaluation purposes. The UNREGISTERED SOFTWARE may not be copied nor distributed to other users for their evaluation. The UNREGISTERED SOFTWARE may be used on a commercial website for evaluation purposes. REGISTRATION OF SOFTWARE When purchasing the SOFTWARE the USER must disclose the Internet Protocol address (I.P.) to be used with the SOFTWARE, and to update the I.P. if and when changed. TRANSFERABILITY OF LICENSE The USER may transfer the I.P. only if the online registration is also updated, and the number of I.P.'s does not exceed the number of licenses purchased. LICENSE OF REGISTERED SOFTWARE A registered copy of the SOFTWARE ("REGISTERED SOFTWARE") allows the USER to use the SOFTWARE only on a single Internet Protocol address (I.P.). If the USER wishes to use the SOFTWARE for more than one I.P., the USER will need to purchase a separate license for each I.P. Multiple IP licenses may be purchased by contacting the DEVELOPER. The USER is allowed to make one copy of the REGISTERED SOFTWARE for production use, one copy of the REGISTERED SOFTWARE for offline development and tests, and one copy of the REGISTERED SOFTWARE for offline back-up purposes. DISTRIBUTION OF SOFTWARE The SOFTWARE may not be distributed to other users. Distribution is prohibited. INTERNET SERVICE PROVIDER (ISP) EXEMPTION Internet service providers (ISP's) who provide hosting to a USER are exempt from the no distribution condition. ISP's are granted the right to distribute phpYellow Lite (free) Edition to their customers, provided the ISP periodically updates the distributed software to the most recent Lite edition. TERM OF LICENSE This LICENSE shall continue for as long as the USER uses the REGISTERED SOFTWARE. However, this LICENSE will terminate if the USER fails to comply with any of its terms or conditions. The USER agrees, upon termination, to destroy all copies of the REGISTERED and/or UNREGISTERED SOFTWARE. The limitations of warranties and liability set forth in this LICENSE shall continue in force even after termination. ACCEPTANCE OF THIS LICENSE AGREEMENT By downloading and/or installing this SOFTWARE, the USER agrees to the terms of this LICENSE. DISCLAIMER OF WARRANTY AND LIABILITY This SOFTWARE is provided "as is" without representations or warranties of any kind, whether expressed or implied. The USER must assume the entire risk of using the SOFTWARE, and the DEVELOPER shall have no liability to the USER or any other third-party for any damages whatsoever, including, but not limited to, any economic or data loss, even if such loss was foreseeable by the DEVELOPER. THE DEVELOPER DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS. ANY LIABILITY OF THE DEVELOPER WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF ORIGINAL PURCHASE PRICE. REQUIREMENT FOR RETURN LINK AND CREDIT A return link is required. The return link must be located at the bottom of every page as set in the distribution files. If the link is modified it must include a link to the DEVELOPER and the software title name. The required return link may be waived in exchange for a nominal fee, inquire for details. MODIFICATIONS Modifications or additions (MODS) to the SOFTWARE are encouraged. USERS making MODS are requested to voluntarily make these MODS available to the DEVELOPER free of charge and without limitations to reuse and integration into the distribution SOFTWARE. The DEVELOPER may from time to time incorporate such MODS into the SOFTWARE to enrich the SOFTWARE feature set. OTHER RESTRICTIONS The USER may not rent, lease, sublicense, translate, disassemble, reverse engineer, or de-compile the SOFTWARE, or modify or merge the SOFTWARE with any part of the software in another program. This LICENSE may not be assigned or otherwise transferred without the prior written consent of the DEVELOPER. INVALID PROVISIONS If any provision of this LICENSE shall be declared invalid or unenforceable, the remaining provisions of this LICENSE shall remain in full force and effect to the fullest extent permitted by law. In such event, each provision of this LICENSE which is invalid or unenforceable shall be replaced with a provision as similar in terms to such invalid or unenforceable provision as may be possible which is legal and enforceable. ENTIRE AGREEMENT This LICENSE is the entire agreement between the DEVELOPER and the USER, and supersedes any other agreement, oral or written, and may not be changed except by a written signed agreement.
